1. Agreement to Terms

By accessing our website or using our automation services, you agree to be bound by these Terms of Service. If you do not agree with all of these terms, you are prohibited from using the website and our services and must discontinue use immediately.

2. Description of Services

Maxia AI provides custom operational automation infrastructure, including:

  • AI Voice Receptionists: Custom configured telephony and voice interfaces powered by systems like Vapi.
  • AI Chatbots: Web-based or platform-based conversational AI helpers.
  • Workflow Automation: Software integration and data flows built using Make.com, n8n, or custom script deployments.
  • Email Sequences & Lead Gen: Cold email infrastructure setup and lead list automation support.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

3. Client Responsibilities & Compliance

As a client utilizing Maxia AI's automation and B2B solutions, you agree that:

  • You are solely responsible for complying with local regulations regarding automated communications, cold emailing, and telemarketing (such as TCPA, CAN-SPAM, GDPR).
  • For AI Voice Receptionist integrations, you must ensure that all call recording notifications or disclosures legally required in your jurisdiction are active and configured.
  • You will provide accurate data, API credentials, and documentation required for us to configure your workflows correctly.

4. Fees and Payment Terms

Fees for custom builds, monthly maintenance retainer plans, and API usage fees (Vapi, ElevenLabs, OpenAI, etc.) will be detailed in your individual Service Agreement or Invoice. Payments are non-refundable unless specified otherwise in writing. Failures to make timely payments may result in the suspension of hosted AI configurations.

5. Intellectual Property

Unless otherwise specified in a custom agreement:

  • Maxia AI retains ownership of pre-existing templates, proprietary integration frameworks, and internal software tools used to construct client systems.
  • Upon full payment of all fees, the client is granted a non-exclusive, perpetual, worldwide license to use the custom automation workflows and AI scripts built specifically for their business.

6. Limitation of Liability & AI Disclaimer

Disclaimer on AI Behavior: You acknowledge that our systems utilize Large Language Models (LLMs) and artificial intelligence services. AI models can occasionally produce inaccurate info (often referred to as "hallucinations") or make logical errors. Maxia AI is not responsible or liable for any business disruptions, inaccurate replies, or system actions taken by automated agents.

To the maximum extent permitted by law, Maxia AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

7. Governing Law

These Terms shall be governed by and defined in accordance with the laws of the jurisdiction in which Maxia AI operates. You consent that the courts of this jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
